These Terms & Conditions ("Terms") govern your use of the website operated by Suncliffe Spirits LLC ("Suncliffe Spirits," "we," "us," or "our"). Please read them carefully.

1. Acceptance of these Terms

By accessing or using this website, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, do not use the site.

2. Age and eligibility

This is an alcohol brand website. You may only access and use this site if you are of legal drinking age in your jurisdiction (21 in the United States).

When you first visit, you will be asked to confirm you are of legal drinking age before viewing the site. A persistent disclaimer also appears near purchase points and in the footer. By using the site you represent and warrant that you meet the legal drinking age requirement. The site and its content are not directed to, and may not be used by, anyone under the legal drinking age. Please enjoy our products responsibly.

3. Permitted use of the site

You may use this site for lawful, personal, non-commercial purposes. You agree not to:

• use the site in violation of any applicable law or regulation;
• attempt to gain unauthorized access to the site or its systems;
• interfere with or disrupt the site's operation or security;
• scrape, harvest, or collect data from the site except as expressly permitted; or
• misrepresent your age or identity.

4. Intellectual property

All content on this site — including text, graphics, logos, product names, images, recipes, editorial, and design — is owned by or licensed to Suncliffe Spirits LLC and is protected by intellectual property laws. The "Suncliffe Spirits" name and logo are trademarks of Suncliffe Spirits LLC. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission, except as permitted by these Terms.

5. User-submitted content

If you submit content through the contact form, the submit-a-recipe form, or any other feature ("Submissions"), you grant Suncliffe Spirits LLC a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, reproduce, adapt, publish, and display that content in connection with our business, including marketing.

You represent that your Submission is your own or that you have the right to grant this license, and that it does not infringe any third party's rights. We are under no obligation to publish, use, or retain any Submission, and may remove or decline content at our discretion. Do not submit confidential information you do not want us to use.

6. Third-party links and content

The site contains links to and embedded content from third parties, including the separate merch store (a third-party Shopify storefront that opens in a new tab), Instagram/Meta, Mapbox, Flaviar/Shopify buy widgets, and stockist/retailer listings. We do not control these third parties and are not responsible for their content, products, terms, or privacy practices. Your use of any third-party service is governed by that third party's own terms and policies.

7. Purchases and commerce

Spirit purchases. We are not a licensed alcohol retailer and are not the seller of our spirits. Spirit purchases initiated on this site are completed through Flaviar Checkout (formerly Barcart), hosted on a Flaviar/Shopify subdomain. The seller and merchant of record is a licensed alcohol retailer in Flaviar's network.

Flaviar and its licensed retailers handle the entire transaction, including payment processing, age verification, alcohol sales tax, licensing and compliance, fulfilment, shipping, customer support, refunds, and order management. We never receive the alcohol-sale proceeds and cannot edit, cancel, or refund orders.

Required disclaimer. All purchases of alcohol made on this website are managed by an independent technology provider, Flaviar Checkout, and processed and fulfilled by licensed alcohol retailers across the country. Suncliffe Spirits is not a licensed beverage alcohol retailer and is not involved with the sale or delivery of alcohol products. All spirit purchases are subject to Flaviar Checkout's terms and policies, available at https://business.flaviar.com/terms, including its order and shipping terms at https://business.flaviar.com/shipping-terms.

By purchasing spirits, you agree that the transaction is governed by Flaviar's own terms and policies, not these Terms, and you direct all order, shipping, refund, and support questions to Flaviar and its retailer. We disclaim all responsibility for the Flaviar transaction, fulfilment, and shipping to the fullest extent permitted by law.

Merch store. Purchases from the separate merch store are governed by that store's own terms and policies.

8. California Proposition 65 warning

WARNING: Drinking distilled spirits, beer, coolers, wine and other alcoholic beverages may increase cancer risk, and, during pregnancy, can cause birth defects. For more information go to www.P65Warnings.ca.gov/alcohol.

9. Disclaimers

The site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, secure, or error-free, or that recipes, content, or information are complete or accurate. Cocktail recipes are provided for personal use by those of legal drinking age; consume responsibly.

10. Limitation of liability

To the fullest extent permitted by law, Suncliffe Spirits LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the site or any third-party service linked from it. Our total liability for any claim relating to the site will not exceed USD 100. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Suncliffe Spirits LLC and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the site, your Submissions, or your violation of these Terms or any applicable law.

12. Governing law

These Terms are governed by the laws of the State of Arizona and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-laws rules.

13. Binding arbitration and class-action waiver

Please read this section carefully — it affects your legal rights, including your right to go to court and to have a jury trial.

Informal resolution first. Before starting any arbitration, you agree to first contact us at legal@suncliffespirits.com and give us at least 30 days to resolve the dispute informally.

Agreement to arbitrate. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the site will be resolved by final and binding arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, and may be conducted in Pima County, Arizona or, at your election, by telephone, video, or written submissions. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury waiver. To the fullest extent permitted by law, you and Suncliffe Spirits LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. You and we waive any right to a jury trial.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual-property or unauthorized-access/misuse claims.

Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@suncliffespirits.com within 30 days of first accepting these Terms. If you opt out, any dispute will be resolved exclusively in the state or federal courts located in Pima County, Arizona, and you consent to their jurisdiction.

Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this section will remain in effect.

14. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted here with a revised effective date. Your continued use of the site after changes take effect constitutes acceptance.
